1. Definitions

2. Eligibility and Account Registration

• 2.1 You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law to create a Chrono Pulse account.
• 2.2 If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
• 2.3 You must provide accurate, complete, and up-to-date information during registration, including valid business and GST details where applicable. We reserve the right to suspend accounts found to contain false information.
• 2.4 You are solely responsible for maintaining the security of your Chrono Pulse account credentials. We shall not be liable for any loss arising from unauthorized access to your account due to your failure to secure your credentials.

3. The App and Subscription Plans

• 3.1 Nature of the App: Chrono Pulse is a Software-as-a-Service (SaaS) application providing business management tools including but not limited to WhatsApp and Instagram unified messaging, Google Calendar synchronization, invoice generation, astrological charting, AI-powered consultation notes, CRM tools, and payment management.
• 3.2 No Warranty of Specific Results: We do not guarantee any specific business outcomes, client acquisitions, revenue growth, message delivery rates, or other results from using Chrono Pulse.
• 3.3 Feature Changes: We reserve the right, at our sole discretion, to modify, suspend, or discontinue any feature of Chrono Pulse at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

4. Acceptable Use Policy

4.1 You agree not to use Chrono Pulse for any of the following:

• Sending spam, unsolicited marketing, or bulk messages in violation of WhatsApp Business Policy or Telecom Commercial Communications Customer Preference Regulations, 2018 (TCCCP) in India.
• Transmitting any content that is unlawful, defamatory, obscene, fraudulent, or harmful.
• Impersonating any person or entity or misrepresenting your affiliation.
• Engaging in multi-level marketing or pyramid scheme promotions.
• Harvesting or collecting personal data of End Users without their explicit consent in violation of the Digital Personal Data Protection Act, 2023 (DPDPA).
• Attempting to breach or circumvent any security measure of Chrono Pulse.

• 4.2 WhatsApp and Instagram Messaging: You are solely responsible for ensuring all messages sent through Chrono Pulse comply with Meta's policies. Any suspension or ban of your WhatsApp Business number or Instagram account by Meta is beyond our control and we shall not be liable for any resulting business loss.
• 4.3 We reserve the right to immediately suspend or terminate your Chrono Pulse account without notice or refund if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

5. Kundli, Astrology, and Predictive Features

• 5.1 Chrono Pulse provides tools for generating Kundli charts, Jataka matching reports, astrological placement charts, and related documents as part of its feature set for astrology practitioners.
• 5.2 No Astrological or Predictive Advice: Chrono Pulse and Chrono Solutions do not provide, endorse, or guarantee the accuracy of any astrological reading, prediction, or report generated by the App. Chrono Pulse is a technology application, not an astrology or predictive services firm.
• 5.3 The Tenant (astrology practitioner) is solely and entirely responsible for the interpretations, advice, and guidance they provide to their End Users based on content generated by Chrono Pulse.
• 5.4 No Liability for Client Decisions: Chrono Solutions shall bear no responsibility whatsoever for any decisions made, actions taken, or outcomes experienced by any End User or third party based on any report, chart, consultation note, or document generated through Chrono Pulse.

6. AI-Generated Content

• 6.1 Chrono Pulse integrates with Google Gemini AI to assist with document generation, consultation notes, invoice parsing, and automated responses.
• 6.2 AI Output is Not Guaranteed: AI-generated content may be inaccurate, incomplete, biased, or unsuitable for your specific purpose. All AI-generated content must be reviewed and validated by a qualified human professional before being relied upon or shared with clients.
• 6.3 No Professional Opinion: AI-generated consultation notes, medical summaries, legal documents, or financial projections created through Chrono Pulse do not constitute professional medical, legal, or financial advice.
• 6.4 You accept full responsibility for reviewing, editing, and approving any AI-generated content before using it in your business operations.

7. Billing, Subscriptions, Wallet, and Payments

• 7.1 Subscription: Access to certain features of Chrono Pulse requires a paid subscription plan. Subscription fees are charged as per the plan selected at the time of registration.
• 7.2 Wallet: Usage-based features (WhatsApp messaging costs, AI token consumption, etc.) are charged from a prepaid Wallet balance within Chrono Pulse. You must maintain a sufficient Wallet balance to use these features.
• 7.3 Top-Ups: Wallet credits are purchased in advance via Razorpay. All transactions are denominated in Indian Rupees (INR) and are inclusive of applicable taxes.
• 7.4 GST: All charges are subject to applicable Goods and Services Tax (GST) as per Indian tax laws.
• 7.5 Refund Policy: Wallet top-up credits and subscription charges are non-refundable once credited or commenced. Unused Wallet credits may be carried forward indefinitely while the account is active. In exceptional circumstances, refund requests may be considered at our sole discretion (contact help@chronosolutions.in within 7 days).
• 7.6 Payment Security: All payments are processed by Razorpay. Chrono Pulse does not store, process, or have access to your full credit/debit card details. By using Razorpay, you also agree to Razorpay's Terms of Service.
• 7.7 Failed Payments: If a subscription renewal payment fails, your account will be downgraded to the free plan and certain features will become inaccessible.
• 7.8 Pricing Changes: We reserve the right to change Chrono Pulse pricing at any time. Existing subscribers will be given at least 30 days' advance notice before any price change affects their billing cycle.

8. Data, Privacy, and Third-Party Integrations

• 8.1 Your Data: You own all data you import, create, or generate within Chrono Pulse. We do not claim ownership of your business data.
• 8.2 Our Access: We access your data solely to provide Chrono Pulse features. We do not sell, rent, or trade your data to third parties for advertising purposes.
• 8.3 Google API: Our use of data received from Google APIs within Chrono Pulse is subject to our Privacy Policy and the Google API Services User Data Policy, including the Limited Use requirements.
• 8.4 Meta (WhatsApp/Instagram): When you connect your WhatsApp or Instagram account via the Embedded Signup flow within Chrono Pulse, you grant the App access to manage messages and phone numbers on your behalf. This access can be revoked at any time from your Meta Business Settings.
• 8.5 End User Data: You are the "Data Fiduciary" under India's DPDPA for all personal data of your clients (End Users) stored within Chrono Pulse. You are responsible for obtaining lawful consent from your End Users before collecting their data and for responding to their data protection rights.
• 8.6 Data Retention on Termination: If you terminate your Chrono Pulse account, your data will be retained for 30 days to allow for export, after which it will be permanently deleted from our systems.

9. Intellectual Property

• 9.1 Our IP: Chrono Pulse, its design, code, trademarks, and all related intellectual property are and remain the exclusive property of Chrono Solutions. Nothing in these Terms grants you any right or license to use our intellectual property beyond what is necessary to use the App.
• 9.2 Your License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to use Chrono Pulse solely for your internal business operations during the term of your subscription.
• 9.3 Feedback: If you provide us with suggestions or feedback about Chrono Pulse, you grant us an irrevocable, perpetual, royalty-free license to use such feedback for any purpose, including in other products by Chrono Solutions.

10. Limitation of Liability

• 10.1 To the maximum extent permitted by applicable law, Chrono Solutions (as the operator of Chrono Pulse) shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, data, business goodwill, or business opportunities; damages resulting from unauthorized access or alteration of your transmissions or data; damages resulting from the conduct or statements of any third party on the App; or outages, errors, or delays caused by Third-Party Services (Meta, Google, Razorpay, etc.).
• 10.2 Aggregate Liability Cap: In no event shall Chrono Solutions' total cumulative liability to you for any claims arising out of or relating to these Terms or Chrono Pulse exceed the amount you actually paid to us for Chrono Pulse in the three (3) months immediately preceding the event giving rise to the claim.
• 10.3 The limitations in this section apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

11. Indemnification

You agree to defend, indemnify, and hold harmless Chrono Solutions and its proprietor, authorized representatives, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or relating to:

• Your violation of these Terms.
• Any content you send, post, or transmit through Chrono Pulse (including WhatsApp and Instagram messages).
• Your violation of any third-party rights, including intellectual property rights.
• Any claim made by your End Users arising from the services or advice you provide to them using Chrono Pulse.
• Your violation of any applicable law, including tax laws or data protection laws.

12. Termination

• 12.1 By You: You may terminate your Chrono Pulse account at any time from your Account Settings. Unused Wallet credits and remaining subscription time are non-refundable upon voluntary termination.
• 12.2 By Us: We may suspend or terminate your account with immediate effect and without notice if you violate these Terms or our Acceptable Use Policy, use Chrono Pulse in a way that creates legal liability for us, or fail to pay applicable fees after being notified.
• 12.3 Effect of Termination: Upon termination, your access to Chrono Pulse ceases. Sections 5, 6, 9, 10, 11, and 13 of these Terms shall survive termination.

13. Governing Law, Disputes, and Jurisdiction

• 13.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law provisions.
• 13.2 Dispute Resolution: In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations for a period of 30 days.
• 13.3 If the dispute is not resolved amicably, it shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties, and the seat of arbitration shall be Mysore, Karnataka, India.

14. Miscellaneous

• 14.1 Entire Agreement for this App: These Terms, together with the Chrono Pulse Privacy Policy, constitute the entire agreement between you and Chrono Solutions regarding your use of Chrono Pulse specifically and supersede all prior agreements. These Terms do not apply to any other application or service offered by Chrono Solutions.
• 14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• 14.3 No Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
• 14.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights.
• 14.5 Force Majeure: We shall not be liable for any failure or delay in performing our obligations if such failure results from circumstances beyond our reasonable control, including acts of God, natural disasters, government actions, power failures, or Third-Party Service outages.
